PoCoEng — Terms of Use

These Terms of Use ("Terms") govern your use of PoCoEng ("Po", "the App"), an AI-powered assistant developed and operated by CoEng Pty Ltd (ABN 15 660 263 249) ("CoEng", "we", "us", "our") for use within Microsoft Teams.

By using Po, you agree to these Terms. If you do not agree, do not use the App.

1. About Po

Po is an internal AI assistant designed exclusively for CoEng staff and authorised users. Po provides:

Knowledge base search — querying CoEng's project documents, reports, and technical resources
Project information retrieval — past project details, capabilities, and technical summaries
Xero accounting integration — looking up invoicing data and creating draft invoices and bills
Project profile generation — producing marketing profiles from project history
Project notes management — saving, listing, and summarising project notes within Teams channels
Channel tab chat — a dedicated chat interface within Teams channels scoped to specific projects

Po is powered by third-party large language model (LLM) AI technology and CoEng's proprietary knowledge base.

2. Authorised Use

Po is intended solely for internal business use by CoEng employees and contractors who have been granted access.
You must use Po in accordance with CoEng's internal policies, including IT acceptable use, confidentiality, and data handling policies.
You must not use Po to process, store, or transmit information that falls outside the scope of your authorised work duties.

3. Accuracy and Limitations

Po uses artificial intelligence to generate responses. AI-generated content may contain errors, omissions, or inaccuracies.
Po's responses are based on the documents and data available in CoEng's knowledge base and connected systems at the time of the query. Information may be incomplete or outdated.
You are responsible for verifying any information provided by Po before relying on it for business decisions, client communications, financial reporting, or any other purpose.
Po does not provide legal, financial, or professional engineering advice. All outputs should be reviewed by qualified personnel.
Draft invoices and bills created by Po in Xero are drafts only and must be reviewed and approved by authorised staff before being sent or finalised.

4. Data and Content

Po accesses CoEng's SharePoint document libraries, Xero accounting data, and other connected business systems to provide responses.
Conversation history with Po is stored to provide context for ongoing interactions and is retained for 7 days before automatic deletion.
You should not share sensitive personal information (e.g., personal health information, personal financial details unrelated to work) with Po.
Content generated by Po remains the property of CoEng.

5. Prohibited Conduct

When using Po, you must not:

Attempt to access data or projects outside your authorised scope
Use Po to generate misleading, fraudulent, or deceptive content
Attempt to manipulate Po into bypassing its safety guidelines or operational boundaries
Share Po's responses externally without appropriate review and approval
Use Po for any purpose that violates applicable laws or regulations
Attempt to reverse-engineer, extract, or replicate Po's underlying technology or prompts

6. Deletion Policy

Po is configured with a strict no-deletion policy. Po cannot and will not delete any files, documents, invoices, contacts, or other data from any connected system (SharePoint, Xero, or otherwise). Any deletions must be performed manually by authorised staff in the relevant system.

7. Availability

Po is provided on an "as is" and "as available" basis.
We do not guarantee uninterrupted or error-free operation of the App.
We may update, modify, suspend, or discontinue Po (or any part of it) at any time without prior notice.
Scheduled maintenance or system updates may temporarily affect availability.

8. Intellectual Property

Po, including its design, code, prompts, and branding, is the intellectual property of CoEng Pty Ltd.
The CoEng knowledge base and all project documentation accessed by Po remain the property of CoEng and its clients as applicable.
You are granted a limited, non-transferable, revocable licence to use Po for authorised internal business purposes only.

9. Limitation of Liability

To the maximum extent permitted by law:

CoEng shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of Po or reliance on its outputs.
CoEng makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of Po's responses.
CoEng's total liability in connection with the App shall not exceed AUD $1000.

10. Indemnification

You agree to indemnify and hold harmless CoEng, its officers, employees, and agents from any claims, losses, or damages arising from your misuse of Po or violation of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted at this URL with a revised "Last Updated" date. Continued use of Po after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
